2008 NETHERLANDS BOARD INDEX Tenth Edition 2008 Download


The Index is a census of 100 of the largest companies listed on the Dutch segments of the NYSE-EuroNext. Information on the composition and structure of boards, committees, board tenure and directorships reflects in most instances the situation as of October 1, 2008. Information on board and committee meetings and the remuneration of directors reflects the situation as of December 31, 2007.

Information in the Index is based on the 2007 annual reports that have been published in 2008 and Internet investor relations pages (last visited in September 2008). Historical data has been obtained from annual reports that have been published since 1996. Detailed information on the top 100 boards in the Netherlands is available in the appendices.

Composition of the Index

The composition of the Index is determined by the composition of the AEX, AMX, AScX indices of the NYSE EuroNext and whether a company is listed in the “other category” of the exchange as of October 1, 2008.


The information on board remuneration in the Board Index is based on cash-based remuneration components such as base salary, the remuneration for board committee work, severance pay and cash bonuses. The figures exclude stock options, pension plans and other long term remuneration components. It is uncommon for non-executive directors in the Netherlands to participate in pension plans or to have stock options or shares in the company.

Information on the cash remuneration of executive directors is available for:

  • Chief executive officers
  • Executive chairmen
  • Executive directors

Information on the cash remuneration of non-executive directors is available for:

  • Independent non-executive directors
  • Non-independent non-executive directors
  • Non-executive chairmen

The Index has calculated the average remuneration of directors who were employed/ appointed during the entire year: from January 1, 2005 until December 31, 2005 and who were on the board as of July 31, 2006. The remuneration of directors who retired or who were appointed/elected in 2005 has not been used to calculate the average remuneration of directors.

The Research Team

Members of the Spencer Stuart research team include drs. Han van Halder (Spencer Stuart European Board Practice) and Ms. Angela Oerbekke. The Board Index is written in co-operation with prof. dr. ing. F.A.J. van den Bosch, prof. dr. H. Volberda, drs. Pieter-Jan Bezemer and dr. Gregory F. Maassen (Editor and Principal Writer), Department of Strategic Management and Business Environment, RSM Erasmus University in the Netherlands. Janet Katz (Senior Editor), Snezana Gjorgieva and Daniëla and Rene Snijder (Desk Researchers) assisted dr. Maassen with field research and the production of the Board Index. Reinout Wijnveen was responsible for the design of database queries and computer programming.Keith Fryer and Alastair Rolfe (Spencer Stuart UK) were responsible for the layout and final editing of the Board Index.
